A strategic advisory for founders building in web3.

We help founders and teams at different stages of development and growth avoid costly mistakes by actively guiding them on the decisions that matter most.

We make complex steps simple, so you can build with fewer blind spots and move forward with confidence.

We've helped

We have worked with founders and teams across web3, technology and cross-border projects, supporting decisions at different stages of growth.

Where projects break

The decisions that sink projects are made early.

Usually long before anyone sees the consequences. By the time a problem shows, the decision behind it is often months old and expensive to undo.

  • ControlWho actually holds the keys to the treasury and the contracts?
  • StructureWhich entity signs with your KOLs, agencies and launch partners?
  • TokenHow does your token design hold up in the markets you're targeting?
  • PeopleWhat do your contributor and co-founder arrangements say about IP and exits?
  • GovernanceWho can change the project once a DAO, foundation or community is involved?

None of these are hard to get right at the start. They're very hard to fix once a raise, a launch or a dispute is underway.

We advise on

How your project is structured, operated and documented.

The focus is on ensuring the way a project is designed aligns with how it actually runs, both now and as it evolves.

Structuring

Build smart, not messy.

How a project is set up and governed, including where control sits and how key decisions are made as the project evolves.

This includes entity structures and jurisdictional considerations at a conceptual level, with an emphasis on ensuring the structure supports how the project actually operates.

Operations

Zoom out. Think ahead.

How a project operates day to day, beyond what is described on paper. This includes how responsibilities are allocated and how authority flows through the team.

It also involves analysing where gaps, overlaps or unclear ownership could create issues as the project grows or changes.

Documentation

Document everything.

Whether a project's documentation reflects reality and provides appropriate protection as circumstances evolve.

This includes how key relationships are documented, how obligations are defined and where agreements may be unclear, outdated or misaligned with how the project is run.

We do not replace lawyers or operators. We provide clarity on how a project is designed and where risk, friction or misalignment may arise over time.

Your options

Three ways founders handle risk.

Each one gets you a different result. It's worth knowing why.

Figure it out as you go

Deal with it when it comes up

Fast and cheap at first. But issues tend to surface at the worst time: mid-raise, mid-launch or mid-dispute.

Brief a law firm per issue

Get advice one question at a time

You get answers to the questions you think to ask. The risk usually sits in the ones you didn't.

Someone who looks across structure, operations and documentation together, and flags the risk in a decision before it becomes a problem.

How we work together

Start with the Risk Review.

The usual starting point for working with us, bringing focus to the decisions that matter now and providing a clear path forward.

What you get
  • A clear view of where the project is exposed and why.
  • A prioritised view of issues based on impact and urgency.
  • Clear direction on what to address now, what to plan for and what can wait.
  • A practical reference point to guide future decisions.
After the review
AOne-off clarity

For some teams, the Risk Review becomes a clear reference point. They take the outcomes and move forward independently, with greater confidence about where to focus and what to prioritise.

BOngoing advisory

For others, the Risk Review becomes the baseline for an ongoing monthly retainer. Cogninno stays across new decisions as they arise, keeping judgement and context consistent. The retainer starts with an initial three-month term and is then reviewed at the end of each quarter.

About the founder

Think of me as the commercial lawyer who's been in crypto since before it was fashionable to regulate it.

I'm a practising solicitor and I run my own law firm. I've spent over 10 years advising businesses on structure, documentation and positioning.

Since 2021, I've advised crypto founders, KOLs and marketing agencies. Cogninno grew out of that work, when it became clear founders needed more than legal advice. They needed someone who could see the risk in a decision before it became a problem.

I've worked with some of the biggest names in web3 and so, I know how projects survive and how they break. Usually it comes down to founder decisions made long before the consequences show.

Cogninno is registered in the Innovation City in the UAE. I work across Australian, UAE and international frameworks, so your structure is built for where you're operating, not where it's easiest to advise.

You deal with me from the first call onwards.
